Terms of Service

1. Acceptance of Terms

By accessing or using the Arcage platform (the "Service") operated by Arcage LLC ("Arcage," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Arcage provides a communication platform that connects buyers with sourcing agents and suppliers. The Service includes:

• Trend data aggregation and analysis from public sources
• AI-powered product matching and search
• Communication tools between buyers and agents (RFQ, chat)
• AI-generated product listings and content
• Invoice and trade document generation tools

Important: Arcage is solely a communication and matching platform. We are NOT a marketplace, escrow service, payment processor for transactions, logistics provider, or party to any deal. We connect buyers with agents — that is the extent of our service. Any transactions, negotiations, payments, shipments, or agreements made between buyers and agents/suppliers are entirely between those parties.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. Token System and Payments

Free Tier: Trend browsing is available without tokens or a subscription.

Token System: Paid features (AI search, quote submission, listing generation, deal finalization) consume tokens. Tokens are purchased in packs starting at $9.99 for 50 tokens via Stripe.

Token Costs: AI Search/Matching: 1 token · Quote Submission: 3 tokens · AI Listing: 5 tokens · Deal Closed: 10 tokens.

No Expiry: Purchased tokens never expire.

Non-Refundable: Consumed tokens are non-refundable. Unused token balances may be refunded within 14 days of purchase by contacting admin@arcage.space.

What We Charge For: Arcage only charges for use of our platform tools (search, matching, quote delivery, listing generation). We do NOT charge commissions, fees, or percentages on any transactions between buyers and suppliers.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Scrape, crawl, or automated-harvest data from the Service without permission
• Attempt to gain unauthorized access to any system or network
• Interfere with the Service's operation or other users' access
• Upload malicious content, viruses, or harmful code
• Misrepresent your identity or business credentials
• Use AI-generated content in violation of applicable laws or platform policies

6. Intellectual Property

Our IP: The Service, including its design, code, algorithms, and branding, is owned by Arcage LLC and protected by intellectual property laws.

Your Content: You retain ownership of content you upload (product images, descriptions, documents). By uploading, you grant us a license to host, display, and process such content as necessary to provide the Service.

AI-Generated Content: Product listings and content generated by our AI tools are provided for your use. You are responsible for reviewing and ensuring the accuracy of AI-generated content before publication.

7. Platform Role and Transaction Disclaimer

Arcage is NOT a party to any transaction. We provide communication tools that connect buyers with sourcing agents and suppliers. We do not:

• Participate in, facilitate, or guarantee any purchase, sale, or trade
• Hold funds, provide escrow, or process payments between buyers and suppliers
• Verify the quality, legality, safety, or authenticity of any products
• Guarantee delivery, shipping, customs clearance, or logistics
• Mediate, arbitrate, or resolve disputes between buyers and suppliers
• Provide insurance, warranties, or guarantees of any kind for transactions

User Acknowledgment: By using this Service, you acknowledge and agree that:

• All transactions are solely between you and the other party
• Arcage bears no responsibility for any loss, damage, fraud, or dispute arising from transactions
• You will not hold Arcage liable for any supplier's actions, products, or failures
• You conduct your own due diligence before entering any agreement
• The "Verified Partner" badge indicates document submission only, not endorsement of reliability

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Trend data or analytics will be accurate or complete
• AI-generated content will be free of errors
• Supplier information or pricing will be current
• Any specific business outcome will result from using the Service

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCAGE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Arcage LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including IP, disclaimers, and liability limitations) will survive.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Boston, Massachusetts.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
